Job Descriptions:

The Board of Supervisors of a Microfinance Institution (MFI) is responsible for overseeing the governance and operational effectiveness of the organization. The Board ensures that the MFI adheres to its mission of providing financial services to low-income populations, while maintaining financial sustainability and compliance with regulatory frameworks. The Board provides strategic guidance, oversight, and accountability to ensure the institution meets its social and financial objectives.

Job Requirements:

Key Responsibilities:

1. Strategic Oversight

  1. Set the strategic direction of the MFI, ensuring alignment with its mission to provide accessible financial services to underserved communities.
  2. Approve long-term goals, policies, and business plans proposed by management, and ensure they reflect the institution’s social and financial goals.
  3. Monitor the performance of the MFI in achieving its mission of financial inclusion and poverty alleviation.

2. Financial Oversight & Accountability

  1. Review and approve annual budgets, financial statements, and strategic financial plans to ensure the MFI remains financially sustainable and continues to serve its target population.
  2. Oversee financial performance, including loan portfolio quality, operating costs, and profitability.
  3. Ensure compliance with all financial regulations, including those specific to microfinance institutions, and promote transparency in financial reporting.

3. Governance & Legal Compliance

  1. Ensure the MFI complies with national and international laws, regulations, and ethical standards related to microfinance operations.
  2. Provide oversight to ensure that the institution operates in accordance with Shariah law or relevant local financial regulations.
  3. Review the organization’s governance structure and recommend changes to improve decision-making processes.

4. Risk Management

  1. Oversee the identification and management of operational, financial, and credit risks.
  2. Ensure that appropriate internal controls are in place to prevent fraud, mismanagement, and financial losses.
  3. Evaluate the MFI’s risk exposure related to loan defaults, interest rates, and external market factors, and approve mitigation strategies.

5. Board & Committee Management

  1. Participate in and lead Board meetings, ensuring that decisions are made in line with the organization’s values and goals.
  2. Provide strategic advice and support to management on program design, funding, and loan delivery models.
  3. Regularly assess Board performance, effectiveness, and member engagement to ensure that all roles are performed competently.

6. Stakeholder Relations

  1. Serve as ambassadors for the MFI, promoting its mission and values within the community and among key stakeholders, such as donors, government agencies, and investors.
  2. Maintain transparent communication with stakeholders regarding the MFI’s financial health and social impact.
  3. Engage with community leaders, investors, and partners to foster collaborations and expand the MFI’s reach.

7. Executive Oversight & CEO Evaluation

  1. Oversee the selection and performance of the CEO or Executive Director of the MFI.
  2. Conduct regular evaluations of the CEO’s performance, ensuring that the executive leadership is in line with organizational goals.
  3. Approve key executive decisions, such as hiring senior management or changes to organizational structure.

 

Qualifications & Skills:

Educational Background:

  1. Bachelor’s or Master’s degree in Finance, Business Administration, Economics, Development Studies, or a related field.

Experience:

  1. Minimum 5-10 years of experience in senior management or governance roles, with a strong understanding of business operations and financial management.
  2. Experience in a leadership role within a nonprofit, corporate, or governmental organization is preferred.

Skills & Competencies:

  1. Strong understanding of corporate governance, financial oversight, and legal compliance.
  2. Excellent decision-making, analytical, and problem-solving abilities.
  3. Strong interpersonal and communication skills to engage with fellow Board members, management, and external stakeholders.
  4. Ability to assess and manage risks, and provide strategic advice and guidance.
  5. Fluency in English language in written and verbal communication skills
