Job Description

BarakatPay is an Electronic Money Institution (EMI) project being established in Afghanistan to provide secure, reliable, and innovative digital financial services. The Company is committed to operating in accordance with the applicable laws, regulations, and principles of sound corporate governance.

BarakatPay is seeking qualified, experienced, and independent professionals to serve as Board Members. The selected Board Members will provide strategic direction, corporate governance, oversight, and independent guidance to support the Company's long-term objectives and ensure compliance with applicable regulatory requirements.

This is a Part-Time (On-Call) position. Board Members are not required to work on a full-time basis or maintain daily attendance at the office. They will participate in Board meetings, review and approve matters within the Board's authority, provide strategic guidance, and sign Board resolutions or official documents whenever required.

Candidates may continue their current employment or engage in other professional activities, provided that such engagements do not create a conflict of interest with BarakatPay and do not interfere with their responsibilities as Board Members.

Key Responsibilities

• Attend Board meetings and participate in strategic decision-making.
• Provide independent oversight of the Company's activities and management.
• Review and approve business strategies, annual plans, budgets, and major corporate decisions.
• Review financial, operational, compliance, risk management, and audit reports.
• Ensure that the Company operates in accordance with applicable laws, regulations, and corporate governance principles.
• Review and approve Board resolutions, governance documents, and other official documents as required.
• Support the Company in achieving its strategic objectives while protecting the interests of shareholders and stakeholders.
• Maintain the confidentiality of Board discussions, Company records, and sensitive information.
• Declare and avoid any actual or potential conflict of interest.
• Perform any other governance-related responsibilities assigned by the Board.


 

Job Requirements

Required Qualifications and Experience

• Bachelor's degree or higher in Business Administration, Finance, Economics, Accounting, Law, Banking, Management, Information Technology, or another relevant field.
• Educational qualifications must be obtained from a recognized institution and officially recognized or verified by the Ministry of Higher Education of Afghanistan. Foreign academic qualifications must be supported by an equivalency certificate issued by the Ministry of Higher Education.
• Minimum five (5) years of senior management, executive leadership, corporate governance, banking, financial services, telecommunications, legal, audit, compliance, risk management, or related professional experience.
• Good understanding of corporate governance principles, Board responsibilities, and strategic oversight.
• Strong leadership, sound judgment, and effective decision-making skills.
• High standards of integrity, professionalism, confidentiality, and accountability.
• Good written and spoken English.
• Good communication skills in Dari and/or Pashto.
• Ability to attend Board meetings and perform responsibilities on an as-needed basis.

Preferred Qualifications

• Previous experience serving as a Board Member, Director, Senior Executive, or Committee Member.
• Experience in banking, Electronic Money Institutions (EMIs), Payment Service Providers (PSPs), fintech companies, telecommunications, or other regulated financial institutions.
• Knowledge of AML/CFT, corporate governance, enterprise risk management, internal controls, audit, and regulatory compliance.
• Experience working with regulators, shareholders, Boards of Directors, or institutional stakeholders.
The appointment of the selected candidate as a Board Member shall be subject to the applicable regulatory requirements and, where required, the approval or non-objection of Da Afghanistan Bank (DAB).
